Ethica Group – Ethica M&A Advisory with the PATELEC Group in the acquisition of FCM

Ethica Group, through its M&A Advisory team, assisted the PATELEC Group, a leading international group specializing in the production of power supply cables and cords, wiring harnesses and electrical panels, in completing the acquisition of FCM S.r.l., an Italian company specialized in wiring, electrical panels, machine‑side systems and industrial automation.

The founding partners, siblings Michele and Milena Calandrini, will remain in the company with a minority stake to ensure strategic and operational continuity.

The transaction represents an important step in PATELEC Group’s growth and consolidation path, with the goal of further strengthening its industrial capacity and expanding the products and services offered to its customers.

FCM, founded in the Marche region in 1999 and led by Michele and Milena Calandrini, designs, manufactures and installs electrical panels, machine‑side systems, pneumatic and robotic solutions and complete systems for industrial process automation. Today, FCM has two main operational sites, one in Sassocorvaro‑Auditore and the other in Macerata Feltria, and employs around thirty people.

Roberto Ziletti, Chairman, and Alessandro Olivieri, CEO of the PATELEC Group, added: “The entry of FCM into the Group is a result we are proud of and confirms our ambition to build a solid, long‑term industrial project. I would like to thank Studio Russo De Rosa and Ethica Group for their professional and continuous support throughout the process, and PKO Bank Polski for financially supporting part of the acquisition. We are convinced that, together with Milena and Michele Calandrini, we will be able to accelerate our development path and create additional value for customers, people, and stakeholders.”

In the context of the transaction, PATELEC Group was assisted on financial matters by Ethica Group, with Filippo Salvetti and Alessandro Corina from the M&A Advisory team.
