Company Background
Southeast Asia Telecommunications Holdings Pte Ltd (“SEATH”) is principally involved in the development, installation, ownership, operation and leasing out of base transceiver station (“BTS”) towers and in-building solutions (“IBS”), infrastructure and other assets in Vietnam. The clients of SEATH consist of top mobile network operators in Vietnam. SEATH is wholly owned by Vietnam Infrastructure Limited (“VNI”).
Deal Summary
VNI has divested all of its shares in SEATH to OCK Vietnam Towers Pte Ltd (“OCK Vietnam”) with IBS business being carved out prior to the completion. OCK Vietnam, a partnership between OCK Group Berhad and CapAsia Telecommunications Limited, acquired SEATH as part of its plan to expand in the telecommunication infrastructure sector of Southeast Asia region. This divestment is in line with VNI’s exit strategy and timeline. The proceeds of the transaction will be used to make capital distributions to VNI’s shareholders.

We also helped facilitate the negotiation with OCK Vietnam for acceptable terms and conditions of the divestment that were beneficial to VNI.
