Ethica Group – Ethica M&A and Debt Advisory with Finint Investments SGR, as majority shareholder of Proteko S.p.A., in its sale to Fremman Capital

Ethica Group, through its M&A Advisory and Debt Advisory teams, and Banca Finint, through its Corporate Finance team, advised Finint Investments SGR, as majority shareholder of Proteko S.p.A., together with Francesco Scelsi and Antonio Mendo, the Group’s key managers and shareholders, on the sale of the company to Fremman Capital, a pan-European private equity firm specializing in mid-market investments.

Headquartered in Vicenza and founded in 2016 by Francesco Scelsi and Antonio Mendo, Proteko has rapidly established itself as one of Italy’s leading providers of occupational safety solutions, supporting its clients in regulatory compliance and risk prevention. Proteko, which currently reports consolidated pro forma revenues of approximately €30 million for 2025, stands out for its comprehensive and integrated offering, positioning itself as a single point of reference for workplace safety through four main service lines: (i) Fire Safety, (ii) Machinery and Lifelines, (iii) Consulting and Training, and (iv) Occupational Medicine.

Proteko’s offering is further enhanced by Pro_Safety, its proprietary software platform that enables clients to centrally manage all their workplace safety requirements. Following Finint Investments’ acquisition of a stake in the company in 2023, Proteko accelerated its growth trajectory, also pursuing a buy-and-build strategy. Between 2025 and 2026, Proteko completed the acquisitions of Morini Group, Bellato Antincendi, Nuova OLP Impianti, GAMP, Antincendio Domenighini, Amea Group and SPS Ecologia.

As a result of this inorganic growth strategy, Proteko now has a widespread presence across Italy, with 11 operating locations across Northern and Central Italy and an in-house team of more than 200 specialized professionals.
