Ethica Group, with Pasubio S.p.A. on its integration into Luilor

Ethica Group – Ethica M&A Advisory advised Pasubio (PAI Partners) in the integration of LUILOR S.p.A. into Unica’s fashion division.

Ethica Group, with its M&A advisory team, assisted Pasubio S.p.A. – a leading producer of premium and luxury automotive leather and part of the PAI Partners portfolio since 2021 – in the integration of Luilor S.p.A. into its Unica fashion division. Luilor is a benchmark in the Italian market for the production of high-end fabrics for home interiors and the fashion industry, with a specific focus on jacquard fabrics.

This transaction represents a fundamental strategic step: the Biagioni family, founders of Luilor, becomes a significant shareholder in the holding company controlling the entire group, alongside PAI Partners, the Pretto family, and the founders of Antiba and Skin—entities that joined the Pasubio/Unica platform during 2025.

Parallelly, the Biagioni family will join the management committee of the Unica division, with the goal of accelerating overall efficiency improvements, focusing strategically on sustainability, material traceability, and the reduction of development and delivery times.

The Biagioni family, together with its long-standing management team, will continue to lead Luilor operationally, ensuring full continuity with its established industrial path and maintaining a central role in the platform’s development. Specifically, they will play a leading role in expanding activities related to furnishing and fashion textiles, contributing to the growth and integration of the Group’s offerings.
